Introducing Hong Kong's New Corporate Fund Structure: Open-ended Fund Companies

Overview

The open-ended fund companies (OFC) regime has come into effect on 30 July 2018. The new OFC structure enables fund managers to establish investment funds in corporate form in Hong Kong. This new structure can be used by public and private investment funds. Prior to the introduction of this new vehicle, open-ended investment funds domiciled in Hong Kong could only be structured in the form of unit trust due to restrictions under the Companies Ordinance.

This seminar aims to facilitate the participants’ understanding of this new fund product structure and the distribution of investment funds in the form of an OFC.

Instructor / Speaker

Ms Grace Chan is a Director of the Investment Products Division of the Securities and Futures Commission. Ms Chan is mainly responsible for authorising and regulating retail investment products, including unit trusts and mutual funds, REITs, ETFs and ILAS. She also plays a key role in the Commission’s policy initiatives concerning the asset management industry, such as the introduction of the open-ended fund company structure and the recent review to enhance asset management regulation in Hong Kong. Ms Chan is currently a member of the Committee on Real Estate Investment Trusts and the Product Advisory Committee of the Commission. Ms Chan practised as a corporate finance lawyer in Hong Kong before joining the Commission, specialising in initial public offerings and M&A transactions.
Ms Fiona Tse is a Senior Manager of Investment Products of the Securities and Futures Commission. Her work involves regulatory matters concerning SFC-authorized investment products, including unit trusts and mutual funds, and REITs, as well as policy initiatives including the introduction of the open-ended fund company structure. Ms Tse was in private legal practice prior to joining the Commission.
